1. Agreement to Terms
By accessing or using the services provided by Nepdia ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Nepdia provides custom software development, AI and automation solutions, cloud architecture, mobile platform development, and technical consulting services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
3. Intellectual Property
All content, features, and functionality of our deliverables—including but not limited to software code, designs, documentation, and proprietary methodologies—remain the intellectual property of Nepdia unless otherwise specified in a written agreement. Clients receive ownership of custom deliverables as defined in individual project contracts.
4. Client Responsibilities
Clients are expected to provide accurate project requirements, timely feedback, and access to necessary resources. Delays in client communication or resource availability may affect project timelines and deliverables.
5. Payment Terms
Payment schedules are outlined in individual project proposals. Unless otherwise agreed, invoices are payable within fifteen (15) days of issuance. Late payments may result in suspension of services.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the engagement. This obligation survives termination of the agreement for a period of three (3) years.
7. Limitation of Liability
Nepdia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our services. Our total liability under any agreement shall not exceed the total fees paid by the client for the specific services giving rise to the claim.
8. Termination
Either party may terminate an engagement with thirty (30) days written notice. In the event of termination, the client shall pay for all services rendered and expenses incurred up to the effective date of termination.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nepdia is registered, without regard to conflict of law principles.
